This Service Provider Agreement ("Agreement") is entered into between Simply Maid Pty Ltd ATF Simply Maid Trust (ABN 63 570 041 787) ("Simply Maid", "we", "us", "our") and the service provider identified in the application ("you", "your", "Provider").
This Agreement governs the terms under which you provide cleaning services to customers through the Simply Maid platform. By submitting your application and checking the agreement box, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
"Platform" means the Simply Maid website, mobile application, and associated booking and management systems.
"Customer" or "Client" means any individual or entity that books or receives cleaning services through the Platform.
"Job" or "Booking" means a confirmed request for cleaning services made through the Platform and assigned to you.
"Service Fee" means the fee charged by Simply Maid for facilitating bookings and providing platform services.
"Labour Hour" means one hour of cleaning work performed by one cleaning professional.
Simply Maid engages you as an independent contractor to provide residential and commercial cleaning services to Customers through the Platform. This Agreement does not create an employment relationship, partnership, joint venture, or agency arrangement between you and Simply Maid.
By electronically signing this Agreement during your onboarding process, you confirm that you have read and understood all terms and agree to be bound by them. This Agreement takes effect from the date of your electronic acceptance.
This Agreement remains in effect until terminated by either party in accordance with Section 6 (Termination).
You agree to perform all Jobs to a professional standard, consistent with Simply Maid's quality guidelines and any applicable checklists provided through the Platform.
You are responsible for providing your own cleaning equipment, products, and supplies. All equipment must be maintained in good working condition and be suitable for professional use.
You must arrive at the Customer's premises at the scheduled service time. If you are unable to attend a Job, you must notify Simply Maid at least 48 hours in advance. Repeated late cancellations or no-shows may result in account suspension or termination.
You must exercise reasonable care with Customer property at all times. Any damage caused during a Job must be reported to Simply Maid immediately. You are responsible for any damage caused by your negligence.
You must maintain current public liability insurance with a minimum coverage of $5,000,000. Proof of insurance must be provided upon request. If you opt into the Simply Maid insurance program, the terms of that program apply.
If a Customer raises a complaint or quality issue about a Job you performed, you must return and re-clean the affected areas to the Customer's reasonable satisfaction, at no additional charge to the Customer. This is a make-good obligation: it is part of performing the original Job to the standard required by clause 2.1, not a separate Job.
Simply Maid will notify you of the complaint and give you a reasonable opportunity to attend, having regard to the Customer's availability. Payment for the original Job is released once the re-clean is completed, or once Simply Maid is reasonably satisfied that the issue has been resolved.
If you are unable or unwilling to attend the re-clean within a reasonable time, Simply Maid may arrange for another Service Provider to complete it, or may refund or credit the Customer. Where that happens, Simply Maid may deduct the reasonable cost of doing so from amounts otherwise payable to you for that Job. Any deduction is limited to the reasonable cost actually incurred and will be itemised on your pay summary.
Nothing in this clause requires you to attend a re-clean where the complaint does not relate to work you performed, where attending would be unsafe, or where the Customer's request goes beyond the scope of the original Job.
Simply Maid charges a Service Fee for each Job completed through the Platform. The current Service Fee rate is communicated to you during onboarding and may be updated from time to time with reasonable notice.
Payments for completed Jobs are processed weekly and deposited to your nominated bank account, less the applicable Service Fee. Payment is typically processed within 3-5 business days after the payment cycle closes.
As an independent contractor, you are solely responsible for your own tax obligations, including income tax, GST (if registered), superannuation, and any other applicable taxes or levies. Simply Maid will provide you with payment summaries as required by law.
You must hold a valid Australian Business Number (ABN) and provide it to Simply Maid. If your ABN becomes invalid or is cancelled, you must notify Simply Maid immediately.
Payments are made to you through Stripe, our payment provider. Stripe charges a processing fee on each payout it makes. You authorise Simply Maid to deduct that processing cost from the payment it relates to. Simply Maid passes on the amount Stripe charges and does not add a margin to it.
The current processing fees are $0.25 plus 0.25% of the payment amount for each payout, and $2.00 for each calendar month in which you receive at least one payment. Where a pay run totals less than $50, no processing fees are deducted.
Each deduction is itemised separately on your pay summary. These fees may change if Stripe changes its pricing; we will give you reasonable notice before any change takes effect. Where Simply Maid pays you by direct bank transfer instead of through Stripe, no processing fees are deducted.
Optional faster payment methods, if offered to you, may carry an additional fee. Those are always optional, and the fee will be shown to you before you choose to use one.
Simply Maid maintains $10 million public liability insurance covering work performed through the Platform. You contribute $2.50 towards this cover for each calendar month in which you receive at least one payment. This contribution is separate from the payout processing fees in clause 3.5 and is not a Stripe charge.
The contribution is deducted at the same time as the monthly payout account fee, on the first payment you receive in a calendar month, and appears on your pay summary as "10m insurance coverage". No contribution is deducted in a month in which you receive no payment, or where a pay run totals less than $50.
This cover does not replace any insurance you are required to hold in your own right under clause 6, and does not cover your own tools, equipment, or vehicle.
Payments are made on a weekly cycle. Each pay period runs Monday to Sunday, and payment for that period is processed on the following Thursday. Depending on the day a Job is performed, this means payment is generally made between four and ten days after the Job is completed.
This cycle exists so that Customer complaints, re-cleans, refunds and payment reversals arising from a Job can be resolved before payment is released. It is the standard payment cycle and applies equally to all Service Providers.
Where a Job is subject to an unresolved complaint, re-clean, refund, chargeback or payment dispute at the time a pay run is processed, Simply Maid may withhold payment for that Job until the matter is resolved under clause 2.6. Simply Maid will tell you which Job is affected and why. Payment for all other Jobs in the same period is released as normal, and withheld amounts are released in the next pay run after the matter is resolved.
Simply Maid will not withhold payment for a Job for longer than is reasonably necessary to resolve the matter. If a Customer chargeback or reversal is later found in your favour, the withheld amount is released to you in full.
During the term of this Agreement and for a period of 12 months after termination, you agree not to directly solicit, accept bookings from, or provide cleaning services to any Customer who was introduced to you through the Platform, outside of the Platform.
If a Customer approaches you to arrange services outside the Platform, you must decline and report the approach to Simply Maid.
Breach of this clause may result in immediate termination of this Agreement and a claim for damages, including lost Service Fees for the remaining expected relationship period.
You are an independent contractor, not an employee, agent, or partner of Simply Maid. You control how and when you perform the cleaning services, subject to the scheduled service time agreed with the Customer.
As an independent contractor, you are not entitled to any employment benefits including but not limited to annual leave, sick leave, workers' compensation (unless separately arranged), superannuation contributions from Simply Maid, or any other benefits that apply to employees.
You are free to provide cleaning services to other parties and through other platforms, provided this does not interfere with your commitments to Customers through the Simply Maid Platform and does not breach the non-solicitation provisions of this Agreement.
You agree to maintain a minimum customer satisfaction rating as communicated through the Platform (currently 80%). Consistently falling below this threshold may result in reduced Job assignments, account review, or termination.
Either party may terminate this Agreement by providing 30 days' written notice to the other party.
Simply Maid may terminate this Agreement immediately, without notice, if you:
Breach any material term of this Agreement
Engage in dishonest, fraudulent, or criminal conduct
Cause serious damage to Customer property
Fail to maintain required insurance coverage
Receive persistent customer complaints that are not resolved
Engage in conduct that brings Simply Maid into disrepute
Upon termination, you must complete any outstanding Jobs already accepted (unless Simply Maid directs otherwise). Simply Maid will pay you for all completed Jobs up to the date of termination, less any applicable Service Fees or deductions.
Simply Maid collects and handles your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Our Privacy Policy, available at simplymaid.com.au/privacy, details how we collect, use, store, and disclose your personal information.
You may receive Customer personal information (name, address, contact details) in connection with Jobs. You must treat this information as confidential and use it only for the purpose of performing the Job. You must not retain, copy, or share Customer information after the Job is completed.
Upon termination of this Agreement, Simply Maid will retain your information as required by law and for legitimate business purposes. You may request deletion of your personal information by contacting us at hello@simplymaid.com.au.
During and after the term of this Agreement, you must keep confidential all information about Simply Maid's business operations, pricing, Customer lists, technology, processes, and any other information that is not publicly available. This obligation survives termination of this Agreement.
You are liable for any damage, loss, or injury caused by your negligence or wilful misconduct during the performance of Jobs. You agree to indemnify and hold harmless Simply Maid from any claims, losses, damages, or expenses arising from your acts or omissions.
To the maximum extent permitted by law, Simply Maid's liability to you under or in connection with this Agreement is limited to the total Service Fees paid by you in the 3-month period immediately preceding the claim. Simply Maid is not liable for any indirect, consequential, or incidental damages.
You acknowledge that Simply Maid's platform insurance (if provided) supplements but does not replace your obligation to maintain your own public liability insurance.
In the event of a dispute arising from or in connection with this Agreement, the parties agree to first attempt to resolve the dispute through good faith negotiation. Either party may initiate this process by providing written notice of the dispute to the other party.
If the dispute is not resolved within 14 days of the initial notice, either party may refer the dispute to mediation administered by the Australian Disputes Centre (ADC) or a mutually agreed mediator. The costs of mediation will be shared equally.
This Agreement is governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
